Press is the publisher of Buying and Selling a
Small Business—An Entrepreneurial Strategy for Success.
A very brief summary of the book is provided below with some important
notes.
| Summary: BSSB is the first book written on buying or selling
a business that defines the correct steps and best alternatives for
virtually every situation: |
- It describes in detail the training and experience buyers need
to qualify for ownership, whether hands-on, absentee, or partnership.
- It shows buyers and sellers how to find each other.
- It shows buyers how to discover all the revenues including
those that sellers have been hiding from the IRS.
- It demonstrates all the calculations to appraise the business
and to prepare cash-flow projections.
- It provides 21 basic rules for negotiating the price and terms,
and it demonstrates how to apply those rules with a fair-and-reasonable
approach.
|
| In addition, BSSB shows how to finance the purchase,
choose a lawyer and an accountant, and close the deal. It even includes
a business plan in the form of a loan application package. |
Purpose of Book:
- The first purpose—the reason this book was written—is
to show buyers and sellers, step-by-step, how to do their deals.
- The second purpose evolved out of the success of the first. Though
written in layman’s language, but due to its comprehensiveness
and meticulous detail, it is to serve higher education as a university
textbook. In fact, it has been designated as the text for a senior-level
entrepreneurship course at one of U.S. News & World Report’s
best American schools, State University of New York—Plattsburgh.
It is also being processed into the curriculum at two other universities
BSSB’s Definition of a Small Business: One with just a single
tier of management, namely, the owner. The importance of this definition
lies in the comparatively high risk of death or disability when only one
person is at the helm.
Street Ethics: BSSB does not deal with such commonplace ethical
issues as whether students should cheat on their exams. Of far greater
importance are the real-life, gritty ethics of the street such as how
owners hide their revenues from the IRS or how savvy buyers and appraisers
capitalize the skim. BSSB covers it all in the same minute detail it covers
everything else.
